WBD CEO David Zaslav’s Merger Payout Could Reach Hundreds of Millions

David Zaslav’s hefty payout from Warner Bros.-Paramount deal revealed
The chief executive of Warner Bros. Discovery is set to receive a substantial payout linked to the company’s proposed transaction with Paramount Global and Skydance.
Based on recent information shared by Variety, the total value of David Zaslav’s compensation package could surpass the worldwide box office earnings of Batman v Superman: Dawn of Justice, drawing attention to the scale of the deal.
As per SEC filing, the projected compensation includes several components. It includes a $34.2 million cash severance payment, along with $517.2 million in equity, representing the estimated value of unvested stock options, restricted stock units, and performance restricted stock units. In addition, $44.2 million has been allocated toward executive benefits and perquisites.
Additionally, a significant portion of the total comes from a $334 million tax reimbursement. This is calculated based on a March 11 closing price for the purposes of the filing. When combined, these figures bring the total estimated payout to $886.8 million. However, the company has clarified that these numbers are based on assumptions and may change before the deal is finalized.
The filing also notes that the final amount could increase further under certain conditions. A provision in the deal introduces an additional payment mechanism for shareholders if the transaction is delayed beyond September 30, 2026, adding $0.25 per share per quarter until the deal is completed.
The transaction is currently expected to close in the third quarter. Although it remains subject to shareholder approval, with a vote anticipated in April. In the weeks leading up to the filing, Zaslav also sold company shares valued at more than $114 million.
If finalized at the current estimate, David Zaslav’s total compensation would exceed the global earnings of Batman v Superman: Dawn of Justice. The film, released in 2016, earned approximately $874 million at the box office (via Box Office Mojo).
